1. General Provisions and Scope
These General Terms and Conditions (GTC) apply to all deliveries and services provided by Wolf Tiny to the customer. Divergent or supplementary provisions from the customer will only become part of the contract if we have expressly agreed to them in writing.
2. Conclusion of Contract
The contract is concluded with the written confirmation of the customer’s order by Wolf Tiny. Amendments and additions to the contract require written form.
3. Default of Acceptance and Storage Fees
a. If the customer is in default of acceptance, we charge a flat storage fee of 1% of the purchase price per day. If actual storage costs are higher, we reserve the right to claim these costs.
b. The storage period must not exceed 30 days. After this period, the goods will be transported to a storage facility designated by the customer. If the customer does not provide a storage location, we are entitled to choose one at our discretion.
c. Additional costs, such as transportation costs, storage fees, labor costs for relocating the goods, and other damages, will be charged in addition to the purchase price.
4. Payment Default and Penalties
a. In the event of payment default or breach of contract by the customer, we may withdraw from the contract according to statutory provisions or claim a contractual penalty of 0.3% of the purchase price for each day of delay.
b. If the customer is in default with further payments, we are entitled to impose a penalty of 0.3% of the outstanding amount per day, but no more than 5% of the total purchase price.
c. Retention of Title: We retain ownership of the goods until full payment of all claims has been made. Until full payment is made, the goods may not be pledged or transferred as security.
5. Revisions and Termination by the Customer
a. No changes to the ordered products can be made after the contract has been concluded. Exceptions may be made if revisions are requested before production begins and confirmed in writing. Delivery deadlines will be adjusted accordingly after a revision.
b. If canceled before production begins, we reserve the right to withhold 5% of the down payment as a cancellation fee.
c. If cancellation occurs after production has begun, production costs and 5% of the down payment will be withheld as cancellation fees. The total cancellation costs will amount to at least 20% of the agreed purchase price.
6. Obligations of the Customer and Wolf Tiny
a. Our obligations: a) Production and delivery according to the agreed specifications. b) Provision of the goods within the agreed deadlines. c) Provision of structural calculations and assembly materials if required.
b. Customer obligations: a) Obtaining all necessary permits. b) Preparation of the foundation according to our specifications. c) Ensuring power supply during assembly and providing tools and accommodation for the assembly team, if necessary.
7. Warranty
a. The statutory warranty period is 2 years unless otherwise agreed.
b. The customer’s warranty claims are governed by statutory provisions. Obvious defects must be reported in writing within 3 working days of delivery.
c. Rust and vibrations in prefabricated buildings due to weather conditions do not constitute a manufacturing defect and are excluded from the warranty.
8. Liability and Limitation Period
a. We are only liable for intent or gross negligence. For simple negligence, we are only liable for injuries to life, body, or health.
b. The general limitation period for warranty claims is 1 year from delivery, 5 years for buildings.
9. Confidentiality and Publication Rights
a. The customer agrees to keep all non-publicly known information confidential.
b. Wolf Tiny reserves the right to use photos of completed projects for advertising purposes.
10. Value-Added Tax and Export Conditions
The VAT amount of 19% must be paid before the goods leave the premises. Upon export, the amount may be refunded under certain conditions if the necessary export documents are provided.
11. Final Provisions
a. German law applies.
b. The place of jurisdiction in the event of a dispute is Düsseldorf.
